These Terms of Use (these “Terms”) explain the terms and conditions by which you may access and use the Interface provided by BRV Labs Inc. (inclusive with its affiliates, the “Company”, “we” or “us”). These terms are applicable to all content, functionality and features available via the Interface, plus any statements, announcements, and communications made by us or communicated on our behalf. The Interface consists of the website, currently located at Brava.xyz (the “Website”), and the mobile application, and displays certain information about the Protocol (defined in clause 3 in the Terms of Use below). The Interface provides a user-friendly, web-based means of access designed to facilitate interaction with the Protocol for informational purposes. It is important to note that the Protocol is distinct from the Interface and the Protocol is not provided, operated, or managed by the Company, as further detailed and explained under Clause 2 in the Legal Disclaimer and Clause 3 in the Terms of Use.
These Terms govern your access to and use of the Interface. Please read these Terms and the Legal Disclaimer carefully, as they contain important information about your legal rights. By accessing and/or using the Interface, you are agreeing to these Terms. If you do not understand or agree to these Terms, please do not use the Interface.
For purposes of these Terms, “user”, “you” and “your” means you as the user of the Interface. If you use the Interface on behalf of a company or other entity then “you” includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (b) you agree to these Terms on the entity's behalf.
NOTICE: This Terms contains important information, including a binding class action waiver, which impacts your rights as to how disputes are resolved. The Interface is only available to you, and you should only access our Interface if you agree completely with these terms.
Nothing in this Legal Disclaimer (the “Legal Disclaimer”) is an offer or solicitation of an offer to use the Interface or buy any assets, nor is it intended to form the basis for any investment decision in any jurisdiction worldwide or provide any specific recommendations. The information may not be complete and does not create any contractual obligations. We cannot guarantee the accuracy of the information provided and no guarantees, warranties or undertakings are made regarding its completeness.
Access to and use of the Interface is at Your sole risk. The Company provides access to the Interface “as is”, “with all faults” and “as available”. To the maximum extent permitted by law, we expressly disclaim any and all responsibility for any direct or consequential loss or damage of any kind whatsoever arising directly or indirectly from: (i) reliance on any information contained in these Terms, (ii) any error, omission or inaccuracy in any such information or (iii) any action resulting from such information.
The Interface’s purpose is to facilitate users' interaction with the Protocol. We make no representations regarding the value of any assets, or the security of the Protocol. You do not interact with us when You perform any transactions, rather You interact with the Protocol directly.
By using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you are authorized to bind the organization to these Terms.
Any digital asset, and its underlying technology may be vulnerable to attacks on its security, integrity or operation, including attacks using computing power sufficient to overwhelm the normal operation of a decentralized distributed ledger and may be lost if sent to the wrong address (for example, but without limitation, if the address is improperly formatted, contains errors, or is intended to be used for a different type of assets).
By making use of the Interface, You also acknowledge and agree that:
we shall not be liable for any risks or adverse outcomes associated with transactions with any assets, including digital assets;
we do not guarantee uninterrupted and secure operation of the Protocol and it may be disturbed by numerous factors beyond our control, and
the functionality of the Interface is experimental in nature and the Protocol is a new technology.
You represent and warrant that You have:
the sufficient technical expertise and ability to review and evaluate the security, integrity and operation of the Interface; and
the knowledge, experience, understanding, professional advice and information to make your own evaluation of the merits and any risks associated with access to the Protocol via the Interface
to the extent required by your local laws or regulations, you meet any applicable professional, accredited, or otherwise qualified investor criteria. If you do not meet such criteria, you agree not to use any features or functionalities of the Interface that require such status and you acknowledge that the Company disclaims all liability arising from any failure to comply with your local investor eligibility requirements.
Currently the Interface is operating in test mode with the purpose of testing certain functionalities of the Interface (“Test”). Your engagement in the Test is wholly voluntary, and by participating, you expressly acknowledge and consent to the understanding that you will not be entitled to any form of remuneration or compensation for your involvement in the Test.
The Test shall be inaugurated on a date as determined by the Company and shall persist until such time as it is dissolved at the sole discretion of the Company. Irrespective of any representations or information disseminated by the Company concerning the Test—whether through the Interface, editorial content, or other communication mediums (including, but not limited to Telegram, Discord, or similar channels)—the Company retains the unequivocal right to modify, suspend, or terminate, in whole or in part, the Test, without prior notification and at its sole discretion. The primary objective of the Test is to enhance the functionality, security, and design of the Interface, to identify and rectify potential challenges, and to refine user experiences in anticipation of the official launch of the Interface.
In your utilization of the Test, you may utilize certain "Test tokens" provided to you by the Company. Test tokens are virtual items with no intrinsic value or utility beyond the Test environment. They are exclusively employed for testing the functionality of the Interface. It is important to note that these tokens do not represent any actual virtual assets. Test tokens are not intended to be converted into or accumulated as mainnet tokens or any other tokens or virtual assets. Their purpose is strictly confined to the Test. Test tokens do not constitute any currency or property of any type and are not redeemable, refundable, or eligible for any fiat or virtual currency or anything else of value.
In consideration for receiving free access to the Test, you agree to serve as a “beta tester” and notify the Company of all problems,ideas, bug reports, comments or other feedback about the Interface or the Interface (collectively, “Feedback”). By submitting Feedback, you grant the Company a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable, and transferable license to use, copy, modify, create derivative works from, distribute, and otherwise exploit your Feedback for any purpose, without any additional compensation to you. All Feedback you provide is deemed non-confidential.
Participation in the Test involves inherent risks, including but not limited to the potential loss of Test tokens and other digital assets you may use to interact with the Protocol via the Interface. Users acknowledge and understand that engaging with the Interface during the Test carries significant risk, and any decision to participate is made voluntarily and at the user's sole discretion. The Company shall not be held liable for any losses, damages, or adverse outcomes resulting from participation in the Test. Users are strongly advised to exercise caution and conduct thorough due diligence before engaging with the Interface during the Test.
All information provided on or through the Interface is intended solely for informational purposes and does not constitute financial, investment, legal, or tax advice. The Company does not endorse, recommend, or make any representation about the suitability or potential value of any particular digital asset, protocol, or strategy. You alone are responsible for evaluating the merits and risks associated with the use of the Interface or any transactions you undertake and for determining whether such actions are in compliance with applicable laws and regulations. You should consult a qualified professional adviser for any specific advice tailored to your situation. The Company disclaims all liability for any decisions or actions you take based on information provided by or through the Interface.
